Terms of Service for OkieLR

These Terms of Service govern the use of services provided by OkieLR. By engaging OkieLR for services, using the website, or requesting implementation work, you agree to these Terms.

1. Services

OkieLR provides setup, configuration, optimization, and management of lead-response, follow-up, booking, routing, messaging, and review-request systems for service businesses. Exact scope, deliverables, timing, and pricing may be further described in a proposal, invoice, onboarding material, message thread, or written agreement.

2. Client responsibilities

The client agrees to provide timely access, accurate business information, approvals, brand and messaging preferences, and any required third-party account access needed for the work. The client is responsible for reviewing and approving business details, contact information, routing logic, and messaging content before launch where applicable.

3. Timing and implementation

Implementation timing begins after payment, receipt of necessary onboarding information, and any required access. Timelines may vary based on responsiveness, third-party platform requirements, integrations, carrier approvals, scheduling complexity, and scope changes.

4. Fees and payment

Unless otherwise agreed in writing, setup fees are due before implementation begins and recurring fees are billed in advance. Late or failed payments may delay work, pause service, or suspend ongoing support until the account is brought current.

5. No guarantee of revenue or results

OkieLR does not guarantee a specific revenue result, number of booked jobs, number of leads, conversion rate, response rate, review count, or business outcome. Results depend on many factors beyond OkieLR's control, including service quality, market conditions, close rate, staffing, pricing, responsiveness, seasonality, and customer demand.

6. Communications compliance

The client is responsible for lawful use of customer communications, including obtaining any required consent for calls, texts, emails, voicemail drops, or automated follow-up. The client is also responsible for approving the practical and legal suitability of messaging content used in their business workflows.

7. Third-party platforms

OkieLR may rely on third-party tools, carriers, hosting providers, communication services, schedulers, CRMs, domains, analytics tools, or automation platforms. Availability, changes, delays, limitations, and outages affecting those services are outside OkieLR's direct control.

8. Intellectual property and usage

Unless otherwise agreed in writing, the client receives the right to use the delivered workflows, configurations, copy, and related implementation materials for their business use after applicable fees are paid. OkieLR may retain general know-how, reusable methods, templates, and non-confidential implementation patterns.

9. Limitation of liability

To the maximum extent permitted by law, OkieLR's total liability for any claim relating to the services or website is limited to the amount paid by the client to OkieLR for the relevant services during the 30 days preceding the event giving rise to the claim. OkieLR is not liable for indirect, incidental, consequential, special, exemplary, or lost-profit damages.

10. Indemnity

The client agrees to indemnify and hold OkieLR harmless from claims, damages, liabilities, and expenses arising out of client-provided materials, unlawful communications, misleading claims, misuse of systems, or failure to obtain required permissions or consents.

11. Termination

Either party may stop future work at any time unless bound by a separate written agreement. Fees already earned, work already performed, and non-refundable third-party costs remain payable.

12. Governing law

These Terms are governed by the laws of the State of Oklahoma, without regard to conflict of law principles.

13. Changes to these Terms

OkieLR may update these Terms of Service from time to time by posting a revised version to this page. Continued use of the website or services after updates constitutes acceptance of the revised Terms.
